Terms of Service

PLEASE READ THESE TERMS OF SERVICE (“TERMS”) CAREFULLY BEFORE USING THE SERVICES OFFERED BY matmat AI. BY ACCEPTING THESE TERMS, YOU (“CUSTOMER”) AGREE TO BE BOUND BY THESE TERMS (TOGETHER WITH ALL ORDER FORMS, THE “AGREEMENT”) TO THE EXCLUSION OF ALL OTHER TERMS.

Order Forms; Access to the Service; Free Trial

Upon mutual execution, each Order Form shall be incorporated into and form a part of the Agreement. Subject to Customer’s compliance with the terms and conditions of this Agreement (including any limitations and restrictions set forth on the applicable Order Form), matmat AI grants Customer a nonexclusive, limited, personal, nonsublicensable, nontransferable right and license to access and use the matmat AI product(s) and/or service(s) specified in an Order Form (collectively, the “Service,” or “Services”) during the applicable Order Form Term (as defined below) only for Customer’s internal business purposes and only in accordance with user documentation provided by matmat AI for such Service (the “Documentation”).

Free Trial

matmat AI may make the Service available to Customer on a trial basis free of charge (“Free Trial”), which will commence upon the date of Customer’s first use of the Service and shall continue for the trial period specified on the applicable Order Form or otherwise communicated to the Customer in writing. Notwithstanding anything to the contrary in this Agreement:

  1. The Service under the Free Trial is provided “AS-IS”, without any warranty.
  2. Customer’s access may be limited.
  3. matmat AI shall have no obligation to provide any support for the Service.
  4. Customer shall be fully liable under this Agreement for any damages arising from Customer’s use of the Service under the Free Trial.

Customer must cancel its account prior to the end of the Trial Period to avoid any charges.

Support & Maintenance

Subject to Customer’s payment of all applicable fees, matmat AI will use commercially reasonable efforts to provide support and maintenance for the Services.

Service Updates

From time to time, matmat AI may provide upgrades, patches, enhancements, or fixes for the Services to its customers generally without additional charge (“Updates”), and such Updates will become part of the Services and subject to this Agreement. Customer understands that matmat AI may cease supporting older versions of the Services at its discretion.

Ownership; Feedback

As between the parties, matmat AI retains all rights, title, and interest in and to the Services, including any software, products, or intellectual property created or used by matmat AI for the purposes of this Agreement. Customer may provide suggestions or other feedback to matmat AI regarding the Service (“Feedback”). Feedback is provided “AS IS,” and matmat AI may freely use and modify the Feedback for any purpose.

Fees; Payment

Customer shall pay matmat AI the fees for the Service as set forth in each Order Form (“Fees”). Unless otherwise specified in an Order Form, all Fees shall be invoiced annually in advance and are payable in U.S. dollars within thirty (30) days from the date of invoice. Customer shall pay a late fee for overdue invoices. Customer is responsible for all taxes associated with the Service, excluding taxes based on matmat AI’s net income.

Restrictions

Customer shall not, and shall not permit any third party to:

  1. Reverse engineer or modify the Service.
  2. Copy, rent, lease, or distribute the Service.
  3. Use the Service for the benefit of a third party.
  4. Build a competing product or service.

Customer agrees to use the Service in compliance with applicable laws, regulations, and matmat AI’s Fair Use Policy.

Business Verification

matmat AI reserves the right to request business verification documents from Customer at any time. Compliance with these requests is essential for using the Services.

Messaging Policy

matmat AI treats all messaging transmitted via the Service as Application-to-Person (“A2P”) messaging. Customer is responsible for obtaining consent from recipients before sending any messages. Customer must provide recipients with the ability to opt-out from receiving further messages.

Customer Data; Privacy Policy; Phone Number Retention

Customer retains all rights to Customer Data. matmat AI will use commercially reasonable efforts to maintain the security of Customer Data. Customer agrees that matmat AI may use Customer Data to improve the Service, and matmat AI may generate Aggregated Anonymous Data for business purposes.

Third Party Services

The Service may operate with third-party services or APIs. matmat AI is not responsible for the availability or operation of these third-party services.

Term; Termination

This Agreement will commence upon the Order Form Start Date and continue until the expiration of all Order Form Terms. Either party may terminate the Agreement upon written notice in accordance with matmat AI’s Cancellation and Refund Policy. Upon termination, Customer may request a complete download of Customer Data, subject to applicable charges.

Indemnification

Each party agrees to indemnify and hold harmless the other from any claims, losses, or damages arising from Customer Data or use of the Service.

Disclaimer

The Service is provided “AS-IS” without warranties of any kind. matmat AI disclaims all implied warranties including those of merchantability or fitness for a particular purpose.

Limitation of Liability

Except for indemnification obligations, in no event shall either party be liable for any indirect, incidental, or consequential damages. The total liability of matmat AI shall not exceed the Fees paid by Customer in the twelve (12) months prior to the event giving rise to the claim.

Miscellaneous

This Agreement represents the entire agreement between Customer and matmat AI. It is governed by the laws of the State of California and any disputes will be resolved by arbitration in San Francisco, California.
